Welcome to Street Smart Improv Comedy LLC. By accessing our website (www.streetsmartimprov.com), purchasing classes or packages, registering for events, or participating in our workshops, practices, and jams, you agree to comply with and be bound by the following Terms of Service.

Throughout this document, the terms "we," "our," "us," "SSIC," "Street Smart Improv Comedy," and "Street Smart Improv" refer to our officially registered entity, Street Smart Improv Comedy LLC. Please read these terms carefully.

1. Eligibility & Age Requirement.
  • Age Limitation: You must be at least 21 years of age to register for, attend, or participate in any of our programs, classes, workshops, jams, or practices. By using this website and registering, you warrant that you meet this age requirement.

  • Right of Refusal: SSIC reserves the absolute right to refuse service, cancel registrations, or deny entry/participation to any individual at our sole discretion.

2. Payments, Packages, and Refund Policy.
  • All Sales Final: All financial transactions, purchases of individual classes, workshop packages, and event registrations are final. We do not offer refunds, credits, or exchanges for any reason, including student non-attendance.

  • Free Event RSVPs: For free community events (such as our improv jams and practices), space is strictly limited. If you cannot attend, you agree to cancel your reservation as soon as possible out of respect for your fellow players and individuals on the waitlist.

3. Classroom Conduct and Side-Coaching.
  • Code of Conduct: By enrolling in any of our programs, you explicitly agree to respect and adhere to our Class Safety Rules & Student Rights. We maintain a zero-tolerance policy for harassment or disruptive behavior. Instructors retain the authority to immediately remove any participant violating these principles without a refund.

  • Side-Coaching: SSIC operates as a growth-focused teaching environment. Participants agree to come with an open mind and a willingness to receive real-time, constructive side-coaching, notes, and direction from facilitators and teachers as a core learning method.

4. Voluntary Participation and Liability Waiver.
  • Assumptions of Risk: You acknowledge that your participation in our programs, including, but not limited to, our classes, workshops, jams, practices, and performances, is completely voluntary.

  • Release of Liability: You assume all physical, mental, and emotional risks associated with participation. You agree that Street Smart Improv Comedy LLC, its officers, employees, representatives, facilitators, and teachers shall not be held liable for any injuries, losses, or damages occurring during, or as a result of, our programs or services.

5. Media Release and Opt-Out Clause.
  • Media Consent: From time to time, SSIC may take photographs or video recordings during classes, workshops, or jams for promotional, social media, and marketing purposes. By participating, you grant Street Smart Improv Comedy LLC the right to use your likeness in our marketing materials.

  • Explicit Opt-Out: You may opt out of this media release, provided that you explicitly notify us before the class or event begins that you wish to opt out. We will happily honor your request.

6. Prohibited Uses of the Website.

You agree that you will use this Website in accordance with all applicable laws, rules, regulations, and these Terms at all times. You agree that you will not perform any of the following prohibited uses:

  • Impersonating or attempting to impersonate SSIC or its officers, employees, representatives, subsidiaries, or divisions;

  • Misrepresenting your identity or affiliation with any person or entity;

  • Sending or attempting to send any advertising or promotional material, including but not limited to spam, junk mail, chain mail, or any similar material;

  • Engaging in any conduct that restricts or inhibits any person’s use or enjoyment of the Website, or which, as determined in our sole discretion, may harm us or the users of this Website or expose us or other users to liability;

  • Using the Website in any manner that could disable, overburden, damage, or impair the Website or interfere with another party’s use of the Website;

  • Using any robot, spider, or other similar automatic technology, process, or means to access or use the Website for any purpose, including monitoring or copying any of the material on this Website;

  • Using any manual process or means to monitor or copy any of the material on this Website or for any other unauthorized purpose;

  • Using any device, software, means, or routine that interferes with the proper working of the Website, including but not limited to viruses, trojan horses, worms, logic bombs, or other such materials;

  • Attempting to gain unauthorized access to, interfering with, damaging, or disrupting any parts of the Website, the server(s) on which the Website is stored, or any server, computer, or database connected to the Website;

  • Attempting to attack or attacking the Website via a denial-of-service attack or a distributed denial-of-service attack;

  • Otherwise attempting to interfere with the proper working of the Website;

  • Using the Website in any way that violates any applicable federal, state, or local laws, rules, or regulations.

7. Website Availability, Errors, and Inaccuracies.

We are constantly updating our product and service offerings on the Website. We cannot and do not guarantee the accuracy or completeness of any information, including prices, product images, specifications, and availability. We reserve the right to change or update information and to correct errors, inaccuracies, or omissions at any time without prior notice.

8. Inclement Weather & Force Majeure.
  • Inclement Weather Policy: For the safety of our community, SSIC closely monitors local road conditions and generally aligns with (though does not strictly adhere to) Loudoun County Public School (LCPS) weather announcements. We will fully adhere to all emergency guidance and mandates issued by county officials or the Virginia State Governor. In the event that a class must be canceled due to inclement weather or unsafe driving conditions, all registered students will be notified promptly via email. While all sales remain final and refunds will not be issued, SSIC will evaluate cancellations on a case-by-case basis to either reschedule the session or provide a class credit toward a future event.

  • Force Majeure: SSIC shall not be liable or responsible for any failure or delay in performing our services when such failure is caused by acts beyond our reasonable control, including but not limited to: severe weather, power failures, venue or facility closures, natural disasters, epidemics, or government mandates.

9. Third-Party Venues and Links.

Our programs are hosted at third-party facilities, and our Website may contain links to external services (such as Wix Payments, digital maps, or other services). You acknowledge and agree that SSIC does not own, control, operate, or assume legal liability for the physical maintenance, safety, operations, or privacy policies of these external properties, venues, or websites.

10. No Warranty and Limitation of Liability.
  • As-Is Basis: This website and all services, purchases, and programs provided through it are offered on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.

  • Damages Limit: To the maximum extent permitted by applicable law, in no event shall Street Smart Improv Comedy LLC, its affiliates, officers, or employees be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your access to, use of, or inability to use the website or services. Our total liability for any claim arising out of these terms shall not exceed the amount paid by you to SSIC for the specific service in dispute.

11. Indemnification.

You agree to defend, indemnify, and hold harmless Street Smart Improv Comedy LLC, its officers, employees, and facilitators from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorney's fees) arising out of or in any way connected to your personal conduct, violation of these Terms, or interactions with third parties during an SSIC event.

12. Remedies.

If you violate these Terms of Service, SSIC reserves the right to pursue all remedies available to us under law and equity, including but not limited to terminating your account, canceling your registrations without refund, and blocking your access to the Website.

13. Severability.

If any provision of these Terms is found to be unenforceable or invalid under applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole. The remaining provisions shall strike down only the offending clause and continue in full force and effect.

14. Governing Law.

These Terms of Service shall be governed by, and construed in accordance with, the laws of the Commonwealth of Virginia, without regard to its conflict of law principles. Any legal actions must be filed in the appropriate state or federal court located in Virginia.
